General Information

Townhall Company and its affiliates (referred to as 'Townhall,' 'we,' 'us,' or 'our') is a corporation incorporated and registered in the state of Maharashtra, India, with its registered address at :  Office No. 315/316, 3rd Floor, City Space, S. No 198/1A, Nagar Road, Near CTR Industries, Viman nagar, Pune, Maharashtra 411014. Our main office is located at Office No. 315/316, 3rd Floor, City Space, S. No 198/1A, Nagar Road, Near CTR Industries, Viman nagar, Pune, Maharashtra 411014. Townhall owns and operates the website https://www.townhall.co , https://www.townscript.com ('Website') and the Townhall hybrid event management platform ('Platform'). This Platform allows event organizers ('Organizer,' 'Customer,' 'You,' 'Yours') to register on the Website and access/use the Platform for organizing in-person and virtual events, utilizing a range of products and services, including event websites, event apps, event registration and ticketing, event analytics, event networking, etc., collectively referred to as 'Features' and subject to modification from time to time.
These Terms of Service ('Terms' or 'ToS') govern your access and/or use of the Features, the Website, the Platform, or the mobile application of Townhall ('App'), our application programming interfaces (APIs), our notifications, and any information or content found therein (collectively, the 'Services'). We kindly ask you to carefully review these Terms, the privacy policy ('Privacy Policy') here and other policies/guidelines provided on the Website before accessing and/or registering with the Platform. These Terms, the Privacy Policy, and any policies/guidelines applicable to you at any given time constitute a legally binding agreement between You and Townhall regarding the Services. By signing the order form, You acknowledge and accept this agreement and agree to be legally bound by its terms. In cases of any ambiguity or inconsistency between these Terms and the Privacy Policy and/or any policies/guidelines, the provisions of these Terms shall prevail.
If you do not accept these Terms and/or the Privacy Policy, you are not permitted to register, access, or use the Platform. If you are an individual acting on behalf of an entity, you represent and warrant that you have the authority to accept these Terms on behalf of such an entity. If you do not wish to accept the Terms stated herein, please do not register, access, or use the Platform/Services.
Users who violate these Terms may have their access and/or use of the Services suspended or terminated at Townhall's sole discretion.
The term 'Event/s' refers to either public or private in-person and virtual events organized by the Customer on the Platform.
PLEASE READ THE FOLLOWING CAREFULLY BEFORE REGISTERING, ACCESSING, AND/OR USING THE PLATFORM.
Matters related to licensing, feature availability, delivery, invoicing, payments, maintenance and support, if provided, along with other expressed terms covered in third-party agreements, including but not limited to, license/service/subscription/partnership agreements ('Agreements') between Townhall and the Customer, shall be construed, to the fullest extent possible, in harmony with these Terms, the Privacy Policy, and any policies/guidelines applicable at that time.
Capitalized terms used within these Terms that are not defined herein shall have the meanings and references provided to them in their respective Agreements.

Definitions

The following definitions will apply to these Terms, and any reference to the singular includes a reference to the plural and vice versa.

  1. 'Customer,'  refers to the Organizer who has entered into a service agreement with Townhall to access and utilize the Townhall Platform for hosting events. This definition includes the Organizer's employees, independent contractors, consultants, Affiliates, successors, and assigns who use or access the Platform/Services. These individuals or entities bear the responsibility for securely handling, transporting, and storing data, as well as implementing business rules.
  2. “Customer Personal Data” means any Personal Data that the Customer shares with or permits Townhall to access, store, host, modify, share, delete and further Process for the performance of the Services, which is processed by Townhall and /or its Affiliates.
  3. "Customer Data" means all data submitted, displayed and/ or uploaded by the Attendees and/or Authorized Administrator(s) and/or the Customer while registering for, accessing, hosting an event, and/ or otherwise using the Site.
  4. “Account” means the self-service account created by the Customer on Townhall’s Platform for using the Services.
  5. “Attendees” means the clients and all individuals who shall, from time to time, be registering , attending or participating in the events organized by the Customer via Townhall Services.
  6. “Users“ and “You” shall mean the Customers and Attendees, collectively
  7. Townhall” shall refer to the superset of all features that shall be provided by Townhall to the Customer to setup and host in-person and virtual events . “Townscript”, hereby known as “Townhall Registrations” refers to the features provided by Townhall that concerns solely with the creation of events by customers , hosting on the marketplace and the purchase of the tickets to these events by the Attendees. Customers can choose to opt soley for “Townhall Registration” services as well.

Age Restrictions

You affirm and assure us that you meet the legal age requirements of being above 18 and any other eligibility criteria necessary to enter into this agreement according to the laws of your jurisdiction. By visiting the Platform or accepting these Terms, You are making a representation and warranty to Townhall that You are of the appropriate legal age or older, and that You possess the rights, authority, and capacity to utilize the Services. You also agree to comply with and be bound by these Terms, the Privacy Policy, and any other relevant policies or guidelines.
If you do not meet the required legal age and still access or use the Services, it will be presumed that your parent or guardian has expressly consented to these Terms on your behalf by permitting your access to and use of the Services. It is your responsibility to ensure that you have obtained such explicit consent from your parent or guardian for accessing and using the Services. Townhall shall not be held responsible for your failure to obtain such explicit consent or for any negligence or failure on the part of your parent or guardian in supervising your activities or granting such express consent.

Subscription of Services

List of Services Provided

In accordance with the terms and conditions outlined in this ToS, Townhall hereby:
i) Grants the Customer a personal, revocable, non-exclusive, non-sublicensable, non-assignable, non-transferable license ('License') to:
 1. Organize, host, manage, and oversee Events and utilize the Services in connection with such Events.
 2. Utilize the Service on a mobile phone, tablet, computer, or any other device ('Device') owned or controlled by the Customer.
 3. Access and use the Services on the Device in accordance with this ToS and any applicable Usage Rules specified below.
ii) Facilitates the Customer in allowing User/s to attend and actively participate in Events organized by the Customer through both the Townhall Website as well as the “App”.
iii) Empowers the Customer to promote, advertise, and market the Events, as well as engage with the Users.
    a. Townhall provides you with full autonomy over the organization and management of an Event, including the administration of Users and interactions with them. You have     the authority to restrict, block, or suspend a User's access to their Event under certain circumstances, such as violations of the Terms, reported abuse, or as otherwise deemed     appropriate by you.
    b. Additionally, we may showcase the Event page of Public Events on our Platform, making it possible for Users to discover such Events while browsing through the Event Page     of these Public Events.
    c. We permit You to display your own Terms of Use and Privacy Policy on our Platform. These terms will become applicable to Users if uploaded by You. If not uploaded, the     standard Terms of Use and Privacy Policy for Users available on the Platform shall apply.
    d. You bear full responsibility for the utilization and access to the Platform by the Users.
    e. Users may utilize the Platform to send and receive messages to and from other Users, provided that such usage is allowed by you

Payment Related Services

  1. Platform and Townhall Fees: Townhall may charge the Attendees a platform fee and the organisers a Townhall fee for each Ticket sold by the Customer on “Townhall Registrations” for a particular Event, in a manner communicated by Townhall to the Customer. Townhall reserves the right to modify or change these fees at its discretion, with such changes becoming effective upon communication to the Host by Townhall.
  2. Townhall will furnish the Host with a transaction summary containing details of transaction fees imposed by Townhall, any third-party payment processing charges, and any taxes deducted by Townhall in compliance with applicable law.
  3. To process payments under the Terms, Users may need to provide Townhall with specific financial information, including bank account details, account type, and/or other information required for alternative payment methods for the Services ('Payment Details'). By furnishing Payment Details, Users confirm that: (a) they possess the legal authority to provide such Payment Details to Townhall, make payments using these Payment Details, and have adequate funds to complete the payment for the Services; and (b) such actions do not breach the terms and conditions related to their use of these Payment Details and/or any applicable laws.
  4. Users acknowledge and agree that Townhall may engage certain third-party vendors and service providers, including payment processors or gateways, to process payments and manage payment card information for Service provision (or any part thereof) through the Platform. Townhall will use Payment Details in accordance with the specified Privacy Policy. The Platform and/or Townhall bear no responsibility for unauthorized transactions conducted on the Platform using Payment Details and are under no obligation to refund any money to Users in such instances.
  5. The transaction summary and ticket information will be sent to your registered email address on successful completion of a transaction.
  6. Except as otherwise mandated by applicable law, Townhall shall not be held liable for any payments authorized through the Platform using your Payment Details. Specifically, Townhall shall not be responsible for payments that do not go through due to: (1) insufficient funds in your bank account or another payment method; (2) provision of incorrect Payment Details to Townhall; (3) expiration of your payment card; or (4) circumstances beyond Townhall's control (such as power outages, cellular service interruptions, or external interferences) preventing the execution of the transaction.
  7. For cross-border payment transactions related to any payments under the Terms, Users are responsible for ensuring compliance with all applicable laws.
  8. Refunds & Cancellation: Tickets are allowed to be cancelled 24 hours prior to start time of Event. The Attendees can make the request for Ticket cancellation or refund directly to Event organisers. The Refund on cancellation of tickets are subject to be determined by Event Organisers and vary from Event to Event. We would recommend users to read Terms & Conditions of every Event before booking the tickets. Please note that platform fee charged to attendees will be non-refundable. If, at any time during the event , the event is cancelled, postponed, suspended or delayed for any reason, Townhall will not make any refunds nor will they be liable for any loss caused by such cancellation, postponement, suspension or delay.It is the “Attendees” responsibility to ascertain whether an event has been cancelled and the date and time of any rearranged event. If an event is cancelled or rescheduled, we will use reasonable endeavours to notify ticket holders of the cancellation once we have received the relevant authorisation from the Event Organiser. We do not guarantee that ticket holders will be informed of such cancellation before the date of the event.Tickets are issued subject to the Rules and Regulations of the venue or Event Organiser. Full details are available from the Event Organisers. Breach of any of these Rules and Regulations or any unacceptable behaviour likely to cause damage, nuisance or injury shall entitle the venue or Event Organiser to eject you from the venue. The Event Organisers may on occasions have to conduct security searches to ensure the safety of the patrons. We will not be responsible for any tickets that are lost or stolen.Tickets may be restricted to a maximum number per person, per credit card and, for some events, a restriction may apply per household. We reserve the right to cancel tickets without prior notice purchased in excess of this number.

Acceptance, Availability And Condition of Services

a. You agree to utilize the Services for the specific purpose of organizing Event/s. In this capacity, You can host Event/s, permit User/s to participate in the Event/s, exchange text,     media, and audio/video files, conduct audio/visual presentations/calls, and make use of any additional features introduced by Townhall from time to time, as selected by you     in  your Service plan.
b. You may grant access to the attendees of your choice to attend the Event/s you organize ('User/s'). These Attendees can register, use, and access the Platform and its Features,      including posting comments, sending messages, and uploading audio/video/text files. You agree to supervise and moderate such User content, taking sole responsibility for      removing any User content that may be deemed unlawful, defamatory, or otherwise inappropriate in accordance with your Acceptable Behavior Policy. Additionally, you are      authorized to suspend or terminate the offending User account, with or without notice to the offending User.
c. You bear sole responsibility for the use of the Platform by the Users, and this responsibility is entirely at your own cost and risk.
d. You confirm and warrant to Townhall that you will organize Events and use the Services in compliance with all applicable laws and regulations, the Terms/Privacy Policy, and      any other Agreements signed between Townhall and You.
e. Townhall reserves the right to modify, suspend, or discontinue the Services, either in part or in whole, at any time and for any reason at our sole discretion. We will endeavor to     provide notice of such changes, where reasonably possible. We may limit access to portions of our Services for some or all Customers and/or Users from time to time. The     Services may also experience periodic unavailability due to maintenance, equipment malfunctions, server issues, or other reasons. You acknowledge and accept that we are     under no obligation to maintain, support, or update the Services, and we make no commitment to do so.
f.  We may introduce Services, functionalities, or features that are still in the testing and evaluation phase, which will be provided on an 'As Is' basis. These beta Services may be     labeled as 'beta,' 'preview,' 'early access,' 'trial,' or similar terms. You understand and agree that these beta Services may not be entirely reliable, as their functionalities and fe     features may require further refinement.
g. We retain the right to: a) keep any information collected upon registration/subscription related to You or any User/s who accessed and/or used the Services to facilitate     quicker re-activation or re-enablement of the Services and/or any Features or in compliance with applicable laws; and b) limit Your use of the Services, including the right to     restrict, suspend, or terminate Your account if we reasonably believe that You are in breach of these Terms and/or are misusing and/or permitting the misuse of the Services.
h. You hereby waive any rights to demand a non-electronic signature, non-electronic record delivery, or non-electronic record retention, to the extent not prohibited by      applicable law.
i.  We make every effort to ensure that our Services are consistently available, but we do not guarantee uninterrupted or continuous operation and access to our Services.     Furthermore, given the evolving nature of the industry and technology, we cannot guarantee complete security and safety for any information, data, or User content uploaded,     shared, hosted, displayed, or transmitted using our Services. Our Platform may not be completely immune to planned or unplanned issues such as data breaches, shutdowns,     technological problems, or interruptions caused by external factors, including but not limited to power outages, disruptions in cellular service, or malicious third-party     interference.
j.  You are responsible for configuring and keeping your information technology, computer programs, Devices, platforms, or operating systems up-to-date and secure to access     and/or use our Services. To use our Services, you must ensure that you have the necessary Devices, software, internet connections, and data connections. You acknowledge     that failure to use up-to-date software, Devices, or high-speed internet or data connections will result in poor or non-performance of our Services, and you agree not to hold     us accountable for such issues. You also agree that we are not liable for any consequences resulting from technical problems, including but not limited to internet-related     issues (such as slow connections, traffic congestion, or server overloads) or any problems with telecommunications or internet service providers.
k. We do not guarantee that the Services will operate without errors, nor do we guarantee that the Services are free from viruses, bugs, attacks, or other harmful code. We also do     not commit to correcting any errors in the Services.
l.  The Services are provided on an 'As Is' and 'As Available' basis without warranties of any kind, including but not limited to representations, warranties, and conditions of     merchantability, fitness for a particular purpose, title, non-infringement, and any arising by statute or from a course of dealing or usage of trade.
m. These Terms do not establish any private right of action on the part of any third party, nor do they create any reasonable expectation that the Services will be free of      prohibited content. By offering an Interactive Customer/User interface, we do not assume liability for any statements, representations, or Customer/User Submissions in any      public forum, blog, or other interactive area. We reserve the right, with absolute discretion, to remove, screen, or edit any Customer/User Submission posted or stored on the      Website, Platform, or the App at any time and for any reason without notice. You are solely responsible for creating backup copies of and replacing any Customer/User      Submission on our Services at your expense. Any use of the Platform or other portions of the Website and the App in violation of the foregoing constitutes a breach of these      Terms and may result in, among other things, termination or suspension of Your rights to use the Platform and/or our Services.
n. You consent to Townhall complying with law enforcement authorities' orders and providing them with any and all information You submit to us to assist in any investigation or     prosecution they may conduct.
o. Organisers will be required to give consent and accept all the Terms and Conditions mentioned in this document as well as the terms of the Privacy policy when they create an      account with us. Attendees will also be required to accept the above mentioned documents and accept that they are above the legal age during the event registration      process.

Restrictions

You shall refrain from, and shall not authorize any User/s or third party to engage in the following actions:
a. Redistribution, sale, assignment, lease, lending, licensing, sublicensing, or renting of the Platform and/or Services.
b. Disassembling, reverse engineering, deciphering, decompiling, or decrypting the Platform and/or Services.
c. Utilizing any robot, spider, scraper, deep link, or other similar automated data gathering or extraction tools, programs, algorithms, or methodologies to access, acquire, copy,     or monitor the Platform and/or Services, or any part thereof.
d. Copying (except for backup purposes), editing, enhancing, or creating derivative works of the Platform and/or Services or any component thereof.
e. Disassembling, disabling, or otherwise interfering with security-related features of the Platform and/or Services or the Features designed to prevent or restrict the use or     copying of any content or enforce limitations on the use of the Services.
f. Posting or transmitting files containing viruses, worms, Trojan horses, ransomware, or any other contaminating or destructive elements, or any material that interferes with the    proper functioning of the Platform and/or Services or the use of the Platform and/or Services by other Customers and/or Users.
g. Removing, modifying, or obscuring any proprietary notice or identification, including copyright, trademark, patent, or other notices, contained within or provided on or via the     Platform and/or Services.
h. Using any communication systems provided by the Platform and/or Services to send unauthorized and/or unsolicited commercial communications.
i. Employing any of Townhall’s Content/intellectual property, including but not limited to name, logo, banners, or trademarks, without obtaining our prior written consent.
j. Using the Platform and/or Services to contravene any applicable laws, rules, or regulations, or for any unlawful, harmful, irresponsible, or inappropriate purposes, or in a    manner that breaches this ToS.
k. Using or attempting to use any engine, software, tool, agent, or other device or mechanism (including but not limited to browsers, spiders, robots, avatars, or intelligent     agents) to navigate or search the Platform or Services, unless using the search engines and search agents, if any, provided through the Services and generally available     third-party web browsers.
l.  Gaining or attempting to gain unauthorized access to our Platform/Services/Website/App, servers, technology, software, systems, etc.
m. Collecting information on other Customers and/or Users and attempting to utilize such information in any way.
n. Using the Platform/Services to host, display, upload, modify, publish, transmit, update, distribute, share, store, or destroy material, including but not limited to Townhall Content and/or Customer/User Content, in any of the following manners:
     • Contrary to any applicable laws or regulations.
     • In a way that infringes upon the copyright, trademark, trade secret, or other intellectual property or proprietary rights of third parties, or violates the privacy, publicity, or        other personal rights of others.
     • In a manner that is harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy, threatening, abusive, hateful, or        racially, ethnically objectionable, disparaging, related to or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever.
     • That aims to harm minors in any way.
     • That deceives or misleads the addressee about the origin of such message or communicates any information that is grossly offensive or menacing in nature.
     • That impersonates another person or entity.
     • That contains software viruses or any other computer code, files, or programs designed to interrupt, alter, destroy, or limit the features or functionality of Townhall’s systems,        Platform, Services, or other Customers and/or Users, third-party systems, or sites, etc.
o. Violating or attempting to violate the security of the Platform/Services, including but not limited to the following activities:
     • Accessing data/information not intended for You or the User, as applicable, or logging into a server or account for which You or the User is not authorized to access.
     • Attempting to probe, scan, or test the vulnerability of a system or network, or to breach security or authentication measures without proper authorization.
     • Attempting to interfere with the Service for any other customer and/or User, host, or network, including submitting a virus to the Platform, overloading, flooding, spamming,        deploying time bombs, or crashing, or forging any TCP/IP packet header or any part of the header information in any group posting.
p. Violations of system or network security may result in civil and/or criminal liability. We shall investigate any occurrences that may involve such violations and cooperate with      law enforcement authorities in the prosecution of You or Your Users who may be implicated in such violations.

Customer Account

  1. To access the Features, the creation or use of an account (referred to as an “Account”) is necessary. During the Account creation process, it is essential that you provide accurate and complete information about yourself as instructed. You bear sole responsibility for all activities that occur within your Account, and it is imperative that you maintain the security of your Account password. Should you become aware of any unauthorized use of your Account, you must promptly notify us.
  2. It is advisable to select a strong password, keep it confidential, and periodically change it. Please refrain from sharing your login credentials, or any information required to obtain your login ID or reset your password, with any unauthorized individuals. Should we discover, or receive reports, that your account is being accessed by unauthorized parties, it will be considered a security breach, and your account may be suspended or terminated. We retain the right to deactivate any password, QR code, or other access methods you employ to access the Platform/Services, whether chosen by you or assigned by us, at our discretion if we reasonably believe you are in violation of these Terms or if your Account/Password/Platform/Features/App/Services, or any applications, software, systems, etc., appear to have been compromised by malicious third-party interference.
  3. It is important to note that Users are also required to create an account to utilize the Platform and Services. The information provided by a User during Account creation, such as but not limited to name, email address, and phone number, will be collected and managed by you. You may use this information in connection with current or future Events.
  4. Know your customer or commonly known as KYC is a process of collecting information that businesses do to verify the identity of their clients in order to ensure tax/legal compliance in different countries where they conduct business and fight fraud and/or avoid any illegal intentions towards the business relationship.The KYC process is required for all organisers who will be setting up “Paid Events” in “Townhall Registrations”. This is required to be completed in order to ensure tax compliance, the creation, or listing of valid events and security of all its users, be it, organizers, or attendees. We aim to be fraud-free and to safely transfer your ticket sales revenue to your account.The details have to be provided only once and can be done before or after creating the event.Your details will remain secure with “Townhall Registrations” and will not be shared with any third party organisations. In case, the customer does not list “Paid Events” or any events in “Townhall Registrations” , Townhall may choose to waive the KYC process.
    The following details are mandatory for the KYC process :
      • Organiser Name and Address
      • CIN (Company Identification Number) if you are signing up as a company
      • PAN Card or Aadhaar number for ID Proofs
      • GST number, if the organiser is GST registered.
      • Bank account details (Bank Account number, Bank Holder Name, IFSC Code)
  5. For the purpose of “Payout processing” wherein Townhall transfers ticket revenue collected from attendees,  to the Customer after deducting the Townhall fees, Payment gateway fees and platform fees,the following steps are to be performed by the Customer to be eligble for payouts.  Once the KYC process is complete, the Organizer is required to share the event venue permissions (for Physical Event) from the concerned authorities and Event completion proofs from the day of the event. These proofs shall be required for a minimum of 1 event ( The first event listed by the organiser) and a maximum of 3 events that the organiser intends to list on Townhall. Townhall may choose to waive off the Event Completion proofs submission for the subsequent events post the first event and this decision remains solely at the discretion of Townhall. The payout process shall be initiated only upon successful submission and approval of the above documents by Townhall.

  7. You assume full responsibility for all actions and activities conducted through or under your Account, unless you promptly report any misuse. In the event of a security breach, unauthorized use, or access to your Account, you must immediately inform us. We shall not be held liable for any losses resulting from unauthorized use of your Account.

Regulations of Use

  1. In the event that you access or use the Services through a third-party Device, platform, or service provider (referred to as a “Distributor”), it is important to understand that the Distributor may have established usage rules that govern your utilization of the Service.
  2. You acknowledge that you have had the opportunity to review and comprehend, and will adhere to, the Usage Rules before utilizing the Services. The Usage Rules that pertain to your use of the Services are hereby incorporated into this ToS by reference. You assert that you are not in violation of any applicable Usage Rules and/or relevant laws that prohibit your use of the Services. If you are unable to make such an assertion, you are not permitted to install or use the Services. You also agree that any right to a refund as stipulated in the Usage Rules applies to any payments you have made to the Distributor.

Third-Party Sources and Content

  1. The Services may provide you with the capability to view, access, link to, and utilize content originating from sources other than us, which are not under our ownership or control (referred to as 'Third Party Content'). Additionally, the Services may facilitate your communication and interaction with these Third Party Sources. For the purposes of this provision, 'Third Party Sources' encompass: (i) external websites and services operated by third parties; and (ii) our partners and customers.
  2. We explicitly disclaim any acceptance, assertion, or assumption of responsibility for any Third-Party Content posted on our Platform, including but not limited to the Organizer Website, Event App, and/or Event Community. Any transactions, hyperlinks, or references to Third-Party content, such as websites, media, articles, etc., as posted by you, shall be considered as occurring solely between you and the Third Party. We constantly strive to keep the platform free from malicious content posted by third parties. We conduct regular checks during content creation by third parties to identify malicious content using our internal algorithms and remove them accordingly from the platform.

    In the event that you have any inquiries or complaints concerning a Third-Party Source or any Third-Party Content, you agree to address such matters directly with the Third-Party Source.

Sending/ Receiving Messages

The Services may offer you the ability to transmit messages, including emails, to a Third-Party Source or to Users (referred to as 'Messages'). You bear full responsibility for the content of the messages you send and the consequences arising from their transmission. By doing so, you agree to indemnify us and explicitly release us from any and all liabilities arising from your Messages. You hereby grant us a worldwide license to use, store, and reproduce your Messages, albeit for the sole purpose of facilitating their delivery to your specified recipients (and we may engage the tools and services of third-party providers to facilitate the transmission of Messages to your designated recipients).
You further affirm that you either own or possess the requisite rights and permissions to utilize all Intellectual Property Rights associated with your Messages, and by granting the aforementioned license, you confirm your compliance with this condition. Your ownership rights in your Messages shall remain intact. It is also noted that the stipulations outlined under “User Submissions” below shall equally apply to Messages transmitted via the Services.

Customer/ User Submissions

a. In accordance with this ToS, you hereby recognize that you and/or Users may generate, post, share, or store content, messages, materials, data, information, text, graphics,     audio, video, or other items or materials on our Platform, encompassing Your website, Event App, and/or Event Community, referred to as 'Customer/User Submissions.' You     undertake not to personally engage in and commit to advising Users in writing to abstain from creating, uploading, transmitting, distributing, constructing, or otherwise     publishing through the Website, Platform, or the App any of the subsequent User Submissions:
   i) Content that is illegal, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy, infringing on publicity rights, abusive,    inflammatory, fraudulent, deceptive, or misleading;
   ii) Content that may constitute, encourage, or provide instructions for a criminal offense, violate the rights of any party, or give rise to liability or contravene any local, state,    national, or international law.
   iii) Content that might infringe on the patent, trademark, trade secret, copyright, or other intellectual or proprietary rights of any party.
   iv) Content that impersonates any individual or entity or otherwise misrepresents your association with an individual or entity;
   v) Content, at our sole discretion, that is objectionable or hampers the ability of any other individual from using the Services, or may expose us or other Users to any type of    harm or liability;
  vi) Content that breaches the terms of our guidelines, principles, policies, or rules displayed on the Website and the App or communicated to You at any given moment;
  vii) Unsolicited promotions, spam, advertising, or solicitations;
  viii) Private information about any third party, encompassing, without limitation, addresses, phone numbers, email addresses, or any other such personal details; and viruses,   corrupted data, or other harmful, disruptive, or destructive files;
b. You shall exclusively bear responsibility for Customer/User Submissions and the repercussions arising from their posting or publication.​​
c. We hold full authority to determine whether to publish Customer/User Submissions, and we reserve the right, without the need for further notice to you, to supervise,     moderate, censor, edit, delete, or eliminate any and all Customer/User Submissions at any given time and for any rationale.
d. Furthermore, you guarantee that you hereby grant us and shall secure from the Users the requisite rights and permissions for us to employ and authorize us to utilize all     Intellectual Property Rights associated with the Customer/User Submissions, enabling their inclusion and utilization as outlined in this ToS. You/User shall maintain all     ownership rights in Customer/User Submissions. Any copyrighted or proprietary content distributed with the consent of the intellectual property owner must bear the     appropriate copyright or proprietary rights notice. Unauthorized submission or distribution of copyrighted or proprietary content is illegal and may expose the User to     personal liability or criminal prosecution.
e. Subsequent to this ToS and the Privacy Policy, by submitting the Customer/User Submissions, you hereby grant us and consent to securing from the Users a worldwide,     irrevocable, non-exclusive, royalty-free, perpetual license to employ, reproduce, distribute, create derivative works of, exhibit, and perform the Customer/User Submissions,     solely in conjunction with the Services, encompassing, without limitation, the redistribution of part or all of the Customer/User Submissions (and derivative works thereof). You     also hereby waive and consent to securing a waiver from the Users regarding any moral rights in the Customer/User Submissions, to the extent permitted by law.
f. You comprehend and acknowledge that while accessing and utilizing the Services: (i) you will encounter User Submissions from various sources, and we bear no responsibility     for the accuracy, utility, safety, or Intellectual Property Rights pertaining to such User Submissions; and (ii) you may come across User Submissions that are inaccurate,     offensive, indecent, or objectionable. You agree to relinquish and hereby relinquish any legal or equitable rights or remedies you may have against us concerning (i) and (ii)     detailed above."

Use of Townhall Content

  1. The entirety of the content found on the Townhall Platform/Services/App/Website, etc., including, but not limited to, designs, text, graphics, images, videos, information, logos, button icons, software, audio files, and other materials, excluding Customer/User Content, is collectively referred to as the “Townhall Content”.
  2. All “Townhall Content” is either our property or the property of our licensors/contractors, as applicable. The compilation (including the collection, arrangement, and/or assembly) of all Townhall Content is our exclusive property. We retain all intellectual property rights, including but not limited to rights related to inventions, utility models, patents, copyright and related rights, trademarks, logos, trade and business names, rights in designs, rights in computer software, database rights, moral rights, know-how, trade secrets, and all similar or equivalent rights or forms of protection (whether now or in the future) in any part of the world. Unauthorized access, copying, use, destruction, and/or distribution of Townhall Content is strictly prohibited;
  3. You may not sell, modify, reverse engineer, reproduce, display, publicly perform, distribute, or otherwise use Townhall Content in any way for any purpose, including any public or commercial purpose, unless it is in connection with Townhall's Services. Furthermore, you may not use Townhall Content in any other manner that is likely to cause confusion among other Customers and/or Users;
  4. Any code (source code, object code), design, UX, UI created by Townhall to generate or display any Townhall Content or the pages comprising the Townhall Platform is also considered our intellectual property. You are prohibited from copying, adapting, reverse engineering, creating derivative works, translating, or infringing upon our rights in any way. Using any Townhall Content on any other platform/website or otherwise (including, without limitation, by uploading or republishing Townhall Content on any internet, intranet, or extranet site or incorporating Townhall Content into any other database or compilation for any purpose) is strictly prohibited;
  5. You shall not copy or adapt the HTML code that we create to generate any Townhall Content or the pages that make up our Platform. Nothing in these Terms shall be interpreted as granting any license to our intellectual property rights, whether by estoppel, implication, or otherwise;
  6. Your access and use of the Platform/Services or our Content do not grant you the right to assign or transfer your obligations under the Terms to any third party;
  7. You may not advertise the use of the Platform or Townhall Content without obtaining our prior written consent.

Intellectual Property Rights

  1. Unless otherwise specified, all content provided through the Townhall Services, including but not limited to designs, text, graphics, images, information, data, audio-visual files, sound files, tools, widgets, apps, software, and any files in any format, whether used collectively or individually, are the proprietary property of Townhall or its licensors, customers, or users and are protected by Indian and international copyright laws.
  2. You are granted a limited, non-sublicensable, revocable, non-transferable license to access and use the Townhall Services and their content for informational, non-commercial, and personal use only. This license is subject to the following terms:
        • You may use this material only as expressly authorized by the owner of the content and shall not copy, transmit, or create derivative works of such material without the       required authorization.
        • You acknowledge and agree that you shall not upload, post, reproduce, or distribute any content on or through the Services that is protected by copyright or other proprietary       rights of a third party without obtaining the written permission of the owner of such rights.
        • Any copyrighted or other proprietary content distributed with the consent of the owner must contain the appropriate copyright or other proprietary rights notice. The       unauthorized submission or distribution of copyrighted or other proprietary content is illegal and could subject the user to personal liability or criminal prosecution.
        • Copyright Complaints: If you have reason to believe that any material on the Services infringes upon any copyright or proprietary right which you own or control, you may       contact us at mydata@townhall.com. Any notice regarding such infringement shall be addressed to the above-mentioned contact ID and shall be governed by the laws of       Delaware as amended up to the current date.
        • In addition, the overall appearance and design of the Services, including but not limited to all page headers, custom graphics, button icons, and scripts, are the proprietary      property of the owner and must not be copied, imitated, or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product      names, and company names or logos are the property of their respective owners. Reference to any products, services, processes, or other information by trade name,      trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation thereof by us.

Information Processed by Townhall and or Third-Party Merchant

Upon your written authorization and in compliance with applicable data protection laws:
a) We assist you in processing your and/or your users' information, data, personal information, business-related information, activities, assets, images, media, messages, etc.We     may engage independent third parties to process the aforementioned information. Access to any of your and/or your users' personal information by these third parties is     limited to the information reasonably necessary for them to perform their services.
b) We may share your information with other third parties as and when required.
c) We will not sell or distribute your and/or your users' personal information to these third parties unless it is required by applicable laws. To the extent we are legally permitted     to do so, we will take commercially reasonable steps to notify you in the event that we are required to provide your personal information to third parties as part of the legal    process.
d) We believe in good faith that disclosure is necessary to protect our rights, ensure your safety or the safety of others, investigate fraud or other crimes, or respond to a written     government request.
e) If we become involved in a merger, acquisition, or any form of sale of some or all of our assets, we shall provide notice to you before your and/or your users' personally     identifiable information becomes subject to a different privacy statement.

We maintain numerous channel partnerships and integrations with third-party platforms. In order to facilitate the regular functioning of Townhall, we may disclose customer and attendee data to these partners and platforms. We kindly request that you review the privacy policies of these platforms to gain an understanding of how your data will be processed and safeguarded.

It is imperative to acknowledge that specific sensitive personal data and other information furnished by you in conjunction with your utilization of the Services may be stored on your Device, even if we don't actively collect such data. Safeguarding your Device against unauthorized access is solely your responsibility.

Limitation of Liability

  1. To the utmost extent allowable under relevant laws, Townhall (comprising our subsidiaries, affiliates, directors, officers, employees, agents, representatives, partners, and licensors, collectively referred to as 'Our Entities') explicitly restrict our liabilities associated with or arising from the provision, access, or utilization of the Platform and/or Services as outlined below:
       i) We furnish the Platform and any Services on an 'as is' and 'as available' basis, and Your engagement with or utilization of our Platform is done at Your own risk;   
      ii) We make no commitments, representations, or warranties of any nature (whether explicitly stated or implied) regarding the Platform and/or Services;
      iii) We do not ensure the accuracy, truthfulness, completeness, or timeliness of the information or content accessible on the Platform;
      iv) We explicitly disclaim all warranties and representations, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement;
      v) We disclaim any liability for any delays or interruptions in our Platform/Services and/or any flaws, viruses, glitches, or errors;
      vi) We disclaim any liability for the conduct of customers and/or Users of the Platform/Services or any content or information submitted or posted by them, whether online or        offline.
  2. To the maximum extent permissible under applicable law, Townhall and Our Entities shall not be accountable to You or any other parties for:
       i) Any indirect, incidental, special, exemplary, consequential, or punitive damages; or
      ii) Any loss of data, business, opportunities, reputation, profits, or revenues linked to the use of our Platform and/or Services.
  3. In the event of liabilities that may be imposed on us in accordance with applicable laws, excluding the types of liabilities that cannot be restricted by applicable law, our liability and the liabilities of Our Entities (in total) including those under these Terms, the DPA, and the Privacy Policy are capped at a maximum amount of USD 5,000 (Five Thousand US Dollars) in the case of a single affected customer or User or USD 10,000 (Ten Thousand US Dollars) or 4% of the event revenue, whichever is lower if all Customers and/or Users are impacted. This amount will be evenly distributed among all adversely affected Customers and Users, provided that the affected customer(s) and/or User(s) have consistently utilized the Services for a minimum of one entire calendar year before the obligation to make payment arises."

Indemnity

In the event of a breach or any claims, actions, demands, damages, liabilities, obligations, costs, suits, or legal proceedings ('Actions') that are actually paid, suffered, or incurred by us as a result of a breach of these Terms, any act or omission, misuse, abuse of our Services and its access, fraudulent activities, or willful misconduct by the Customer and/or Your Users, including but not limited to: (i) the use of Customer/User Content or other materials provided by You and/or Your Users on the Platform; (ii) the misuse of any Townhall Content by You and/or Your Users; (iii) a breach of these Terms by You or Your Users; or (iv) any loss or deletion of Townhall/Customer/User Content that may occur through the use or misuse of the Platform by You or Your Users, You hereby agree to defend, indemnify, and hold harmless Townhall, Our Entities, and their respective officers, directors, employees, affiliates, and agents, from any such Actions, including but not limited to reasonable legal and accounting fees and expenses. We shall promptly notify You of any such Actions.

Export Laws

You affirm that you are not, and will not provide access to the Services to, residents of any country subject to trade restrictions or individuals classified as prohibited entities under any export control or anti-terrorism laws, regulations, or lists. You commit to complete compliance with all relevant export laws and regulations to guarantee that neither the Services nor any associated technical data are exported or re-exported, either directly or indirectly, in contravention of these laws and regulations or used for any purposes prohibited by them.

Term and Termination

These Terms shall remain in effect until terminated, which may occur through actual termination, deactivation, or unsubscribing, either by You or by us, as follows:

  1. You may cease using the Platform/ Services;
  2. We retain the right, at our sole discretion and without prior notice, to suspend or terminate Your Account and Your access to the Platform/ Services if we have reasonable grounds to believe that:
    i. You and/or Your Users have repeatedly and significantly violated these Terms (including non-payment of fees);
    ii. Your and/or Your Users' use of the Platform/ Services poses a risk of harm, loss, or damage to us, other customers and users, third parties, or the general public;
    iii. We receive a request from government or regulatory authorities or if required by applicable laws, regulations, or legal processes; or
    iv. Providing the Platform/ Services to You is no longer feasible or commercially viable; or
    v. For any other reason as determined solely by us, including for our convenience.
    In any of the aforementioned scenarios, we will make reasonable efforts to notify You via the email address associated with Your Account
  3. Upon termination of Your Account and/or Your access or use of the Platform/ Services, these Terms shall cease to be effective, except for provisions intended to survive termination;
  4. Following termination, the Customer/ User Content shall remain accessible to You for a period of 365 (Three Hundred and Sixty-Five) days from the effective date of termination to facilitate the downloading of any Customer/ User Content. After this period, the Customer shall no longer have access to the respective data .Subject to the terms of the Privacy Policy for the period of data retention by Townhall, we shall automatically delete the Customer/ User Content, unless retention is required by applicable laws. Failure to download/copy any or all of the Customer/ User Content within this timeframe shall not render us liable for such deletion or data loss. Termination or suspension of Your Account and Your Users' accounts due to non-payment by You shall result in complete restriction of access to the Platform/ Services, and You shall not have the option to download any User Content until payment is fully settled.
  5. At our sole discretion, if we deem it necessary or appropriate, we will report any breach of these Terms to law enforcement authorities and cooperate with them by disclosing Your or Your Users' identities and providing any information within our systems about You and Your Users.

THIS PLATFORM AND SERVICES ARE PROVIDED ON AN 'AS IS' BASIS, WITH ALL FAULTS AND WITHOUT ANY WARRANTY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOWNHALL DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUALITY, RESULTS, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES OR CONDITIONS ARISING FROM ANY ACTUAL OR ALLEGED COURSE OF DEALING, USAGE, OR TRADE PRACTICE. TOWNHALL EXPRESSLY DISCLAIMS ANY WARRANTIES OF ANY KIND REGARDING THE ACCURACY OR FUNCTIONALITY OF THE PLATFORM, ANY FEATURES AND/OR SERVICES, AND THE ACCURACY, VALIDITY, OR COMPLETENESS OF ANY INFORMATION OR FEATURES AVAILABLE THROUGH THE PLATFORM/ SERVICES, AS WELL AS THE QUALITY OR CONSISTENCY OF THE SERVICES OR RESULTS OBTAINED OR DATA DERIVED THROUGH THEIR USE.

General

This Terms of Service (ToS), Master Subscription Agreement, and any other legal notices issued by us pertaining to the Services, collectively constitute the comprehensive agreement between You and Townhall regarding the Services. If any provision of this ToS is determined to be invalid by a court with competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions of this ToS, all of which shall remain in full force and effect. No waiver of any term of this ToS shall be considered a continuing waiver of that term or any other term, and the failure of a party to assert any right or provision under this ToS shall not be deemed a waiver of that right or provision.

  4. You may deliver any notices to us by sending them to our registered office and/or local office by registered post and/or first-class courier. Such notices shall be considered as having been served on us when physically received and accessed by us. We reserve the right to amend any of the terms and conditions herein at our sole discretion without prior notice. Such amendments shall become effective immediately upon posting the revised Terms of Service on the website and/or the app. By continuing to use/access the Services, you waive any right you may have to receive specific notice of such amendments, and you confirm your acceptance of all such amendments. Therefore, it is recommended that you regularly review, understand, and accept the Terms, Privacy Policy, and relevant policies/guidelines. If you do not agree to the amended terms, you must cease using and accessing our Services.
